Constitution of the Rexdale Soccer League
Article 1: Name
The organization shall be known as the Rexdale Soccer League (RSL).
For community identity and historical purposes, the names Rexdale Soccer Club, Rexdale Rebels, and Rexdale Soccer may continue to be used.
The legal name for all official purposes is Rexdale Soccer League.
Article 2: Affiliation
RSL is a not-for-profit organization affiliated with the Toronto Soccer Association (TSA), Ontario Soccer, Canada Soccer, and FIFA, and will operate in full compliance with their statutes, rules, and policies.
Article 3: Purpose
The purposes of RSL are to:
- Support and uphold the Laws of the Game as established by FIFA, Canada Soccer, and Ontario Soccer, except as otherwise provided in League rules.
- Organize and govern recreational, competitive, and community soccer programs for players in Rexdale and the surrounding community.
- Provide opportunities for skill development, teamwork, leadership, and fair play in alignment with Ontario Soccer’s player development standards.
- Promote participation in soccer for all ages and skill levels, fostering physical activity, health, and wellness.
- Advance the values of sportsmanship, respect, inclusion, equity, and community engagement through soccer.
Article 4: Membership
- Membership is open to:
- Executive Officers,
- Appointed Directors,
- Approved team officials, and
- One adult representative (18+) per registered player.
- Members must be in good standing with RSL, TSA, and Ontario Soccer.
- Each member in good standing has one vote at General Meetings.
- Proxy voting is not permitted.
- Membership is valid until the close of new business at the Annual General Meeting (AGM).
Article 5: Head Office
The Head Office of RSL shall be located in the City of Toronto, Ontario.
The League may conduct its administrative operations virtually and through such addresses as determined by the Executive Council.
For mailing purposes, the League may maintain a post office box or such other mailing address as approved by the Executive Council.
Article 6: Quorum
Quorum for a General Meeting shall be 25% of voting members or 20 members, whichever is fewer.
Article 7: Annual General Meeting (AGM)
- The AGM shall be held no later than November 15 each year.
- Notice must be given at least 21 days in advance.
- The agenda must include reports from the President, Vice-President, Treasurer, and Secretary.
- Elections and constitutional amendments may be conducted at the AGM.
Article 8: Special General Meetings
A Special General Meeting may be called by the Executive Council or upon written request of 25% of members.
Article 9: Executive Council
- The affairs of RSL are managed by the Executive Council, consisting of:
- President
- Vice-President
- Treasurer
- Secretary
- If the Secretary position is vacant following elections, the Council may appoint one.
- Executive Officers must be members in good standing for at least one year.
- Executive Officers may be removed by a two-thirds vote of members at a General Meeting.
- Executives must declare any conflict of interest and abstain from voting on related matters.
Article 10: Directors
- The Executive Council may appoint Directors as needed to oversee programs and operations, including House League, Sponsorship, Referees, Tournaments, and other functions.
- Directors report to the Executive Council and do not hold signing authority unless specifically delegated.
Article 11: Safe Sport and Inclusion
- RSL adopts the Safe Sport framework, the Universal Code of Conduct to Prevent and Address Maltreatment in Sport (UCCMS), and Ontario Soccer’s Harassment and Discrimination Policy.
- RSL is committed to equity, diversity, inclusion, Indigenous participation, newcomer engagement, and accessibility in all programs.
Article 12: Representative (Rep) Teams
- Rep Teams registering under the RSL name operate independently.
- Rep Teams are solely responsible for their finances, staffing, insurance, and compliance with Ontario Soccer and TSA rules.
- RSL assumes no financial, operational, or disciplinary liability for Rep Teams.
- Rep Teams must enter into an annual Affiliation & Name-Use Agreement with RSL and provide proof of insurance naming RSL and the City of Toronto as additional insureds.
Article 13: Discipline and Appeals
- RSL will handle discipline matters internally at first instance.
- Unresolved or escalated matters will be referred to TSA and Ontario Soccer for final resolution.
- Discipline procedures shall follow Ontario Soccer’s Discipline by Review (DBR) and Discipline by Hearing (DBH) processes.
Article 14: Finance
- The Treasurer shall maintain accurate records of all financial transactions.
- The Treasurer shall present an annual financial report to the AGM.
- An independent financial review may be requested by the membership.
- Registration fees and refunds are governed by RSL’s By-Laws.
- The League shall maintain liability insurance including the City of Toronto as an additional insured.
Article 15: Dissolution
In the event of dissolution, RSL’s assets shall be transferred to another not-for-profit soccer organization in Ontario with similar purposes, in accordance with applicable laws.
Article 16: Adoption and Ratification
This Constitution was adopted by resolution of the membership of RSL at the Annual General Meeting of October 2025, confirming the official legal name of the organization as Rexdale Soccer League, in alignment with Ontario incorporation, insurance, and City of Toronto permit requirements.
